These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding agreement between the customer (“Client”, “User”, “You”) and Helixson Global OPC Private Limited, a company incorporated under the laws of India, operating under the brand name Helixson.cloud (“Company”, “Helixson”, “We”, “Us”, “Our”).

These Terms govern access to and use of the website https://www.helixson.cloud and all products and services offered by the Company, including but not limited to Domain Registration, Web Hosting, VPS, Dedicated Servers, Cloud Infrastructure, Managed Services, Email Services, SSL Certificates, Security, Backup, and IT Support Services (collectively, the “Services”).

By accessing, purchasing, or using any Service, you confirm that you have read, understood, and agree to be legally bound by these Terms.


1. Definitions

For the purposes of this Agreement:

  • “Client” means any individual or legal entity purchasing or using Services

  • “Services” means all products and solutions offered by Helixson.cloud

  • “Third-Party Provider” means licensors, data centers, registrars, payment gateways, or vendors

  • “Uptime” means service availability excluding scheduled maintenance

  • “Force Majeure Event” means events beyond reasonable control

3. Eligibility & Authority

You represent and warrant that:

  • You are at least 18 years of age

  • You have legal authority to bind yourself or the entity you represent

  • All information provided is accurate and lawful


4. Scope of Services

The Company provides infrastructure and technology services on an “as-is” and “as-available” basis, subject to service-specific limitations, technical feasibility, and third-party dependencies.

The Company does not guarantee that Services will be error-free, uninterrupted, or meet all business requirements.


5. Account Registration & Security

Clients are solely responsible for:

  • Maintaining confidentiality of account credentials

  • All actions performed through their account

  • Updating contact and billing information

The Company shall not be liable for losses resulting from unauthorized access caused by client negligence.


6. Domain Registration Services
  1. Domain services are governed by ICANN and registry policies

  2. Domain availability is not guaranteed until confirmation

  3. Clients are responsible for renewals before expiry

  4. Expired domains may be deleted or auctioned without notice

  5. Domain disputes are governed by registry dispute resolution policies

The Company acts only as a registrar/reseller and bears no ownership of domain names.


7. Hosting, VPS, Dedicated & Cloud Services
  • Resources are allocated as per selected plans

  • Overuse may result in throttling or suspension

  • 100% uptime is not guaranteed

  • Maintenance windows may occur without prior notice

The Company reserves the right to suspend services that pose a security or stability risk.


8. Acceptable Use Policy

Clients must not use Services for:

  • Illegal or unlawful activities

  • Spam, phishing, malware, or hacking

  • Copyright infringement

  • Abusive, defamatory, or prohibited content

  • Network abuse or resource exploitation

Violation may result in immediate termination without refund.


9. Data, Content & Client Responsibility

Clients retain ownership of their data and content but grant the Company a limited license to host and process such data solely for service delivery.

Clients are solely responsible for:

  • Data legality and compliance

  • Application security

  • Data encryption and access control


10. Backups & Data Loss
  • Backups, if offered, are provided on a best-effort basis

  • No guarantee of data restoration

  • Clients must maintain independent backups

The Company shall not be liable for data loss, corruption, or downtime.


11. Billing, Pricing & Taxes
  • All services are prepaid unless agreed otherwise

  • Prices may change upon renewal

  • Taxes (GST or others) are payable by the client

  • Failure to pay may result in suspension or termination


12. Refunds & Cancellations

Refunds are governed by the Refund & Cancellation Policy.
Domain names, SSL certificates, licenses, setup fees, and activated infrastructure services are non-refundable.


13. Intellectual Property

All trademarks, software, content, and materials are the intellectual property of Helixson Global OPC Private Limited or its licensors.

Unauthorized use is strictly prohibited.


14. Limitation of Liability

To the maximum extent permitted by law:

  • The Company shall not be liable for indirect or consequential damages

  • Total liability shall not exceed the amount paid for the affected service in the preceding billing cycle


15. Indemnification

You agree to indemnify and hold harmless the Company against all claims, damages, liabilities, and expenses arising from your use of the Services or violation of these Terms.


16. Force Majeure

The Company shall not be liable for failure caused by events beyond reasonable control, including natural disasters, power failures, government actions, or third-party outages.


17. Suspension & Termination

The Company may suspend or terminate Services:

  • For policy violations

  • For non-payment

  • For legal or security reasons

Outstanding dues remain payable after termination.


18. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India.
Courts of India shall have exclusive jurisdiction.


19. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior communications.
